These general terms and conditions of use (“Terms of Use”) govern your use of the Express Hotels.com web site. Express Hotels reserves the right, at any time, to modify, alter or update our Site, policies and these Terms of Use. If you do not agree to these Terms of Use, you should immediately cease using the website and its content. Each time you use the site you reaffirm your acceptance of these Terms and Conditions as modified from time to time.

YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS EXPRESS HOTELS, ITS DIRECTORS, SHAREHOLDERS, OFFICERS, EMPLOYEES, AGENTS, DISTRIBUTORS, VENDORS AND AFFILIATES FROM AND AGAINST ALL CLAIMS, DEMANDS, LIABILITIES, LOSSES, EXPENSES, DAMAGES AND COSTS, INCLUDING REASONABLE ATTORNEYS’ FEES, RESULTING FROM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, UNLAWFUL USE OR OTHER MISUSE, OR INABILITY TO USE THE SITE OR SERVICES, YOUR BREACH OF THIS AGREEMENT, OR OTHERWISE RELATING TO THE BUSINESS WE CONDUCT ON THE SITE (INCLUDING, WITHOUT LIMITATION, ANY POTENTIAL OR ACTUAL COMMUNICATION, TRANSACTION OR DISPUTE BETWEEN YOU AND ANY OTHER MEMBER, USER OR THIRD PARTY), ANY CONTENT POSTED BY YOU OR ON YOUR BEHALF OR POSTED BY OTHER USERS OF YOUR ACCOUNT TO THE SITE, ANY USE OF ANY SERVICE PROVIDED BY A THIRD PARTY PROVIDER, OR ANY USE OF A SERVICE OFFERED BY US THAT INTERACTS WITH A THIRD PARTY WEBSITE, INCLUDING ANY SOCIAL MEDIA SITE. YOU SHALL COOPERATE AS FULLY AS REASONABLY REQUIRED IN THE DEFENSE OF ANY CLAIM. WE RESERVE THE RIGHT, AT OUR OWN EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY MATTER OTHERWISE SUBJECT TO INDEMNIFICATION BY YOU AND YOU SHALL NOT SETTLE ANY MATTER WITHOUT OUR WRITTEN CONSENT. THIS SECTION SURVIVES TERMINATION OF THIS AGREEMENT.

  1. Choice of Law, Arbitration, and Venue This Agreement and any claim or controversy relating to or arising from the use of this Site or Services, including, but not limited to, any purchases or other transactions made or entered into at this Site, any information, content, products, services or promotions herein contained or provided from this Site, or any functionality, software or programming contained or provided at or from this Site (hereafter, "Claims"), shall be governed by the laws of the State of California without regard to principles of conflicts of law and, as applicable, the laws of the United States of America. All Claims shall be decided by one arbitrator pursuant to this provision and the commercial arbitration rules and procedures of JAMS, Inc. at their offices located in Los Angeles, California. All Claims shall be brought solely in the parties’ individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s Claims, and may not otherwise preside over any form of a representative or class proceeding with respect to any such Claims. NEITHER PARTY SHALL BE PERMITTED TO OBTAIN AWARDS FOR, AND EACH PARTY HEREBY WAIVES ALL RIGHTS TO CLAIM, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES AND ANY OTHER DAMAGES, OTHER THAN FOR ACTUAL OUT-OF-POCKET EXPENSES, AND WAIVES ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. The decision of the arbitrator shall be final and binding. No arbitration award or decision will have any preclusive effect as to issues or claims in any dispute with anyone who is not a named party to the arbitration. Any proceeding to enforce this arbitration agreement, including any proceeding to confirm, modify, or vacate an arbitration award shall be conducted in the Superior Court of the State of California, in and for the County of Los Angeles or, where applicable, the federal District Court sitting in the County of Los Angeles, State of California. Likewise, in the event that this arbitration agreement is for any reason held to be unenforceable, any litigation shall be commenced only in the federal or state courts located in Los Angeles, California. You hereby irrevocably consent to the jurisdiction of those courts for such purposes.

BY USING THE SITE AND/OR SERVICES IN ANY MANNER, YOU AGREE TO THE ABOVE ARBITRATION AGREEMENT. IN DOING SO, YOU GIVE UP YOUR RIGHT TO GO TO COURT TO ASSERT OR DEFEND ANY CLAIMS BETWEEN YOU AND US. YOU ALSO GIVE UP YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION OR OTHER CLASS PROCEEDING.

Submission and Posting of Information, Comments, Writings and Other User-Generated Content and Materials As a user of this Site, you may be able to post content on the Site, including providing testimonials or reviews, leaving comments, etc. You are solely responsible for the content that you publish, display or post on the Site or Services, or transmit or display to other users.   1. Termination and Denial of Access This Agreement is effective unless and until terminated by Express Hotels. If in Express Hotel’s sole discretion you fail to comply with any term or provision of this Agreement, Express Hotels may terminate your access to or use of this Site. In the event of termination or denial of access by Express Hotels, you are no longer authorized to access the Site, and the restrictions imposed upon you with respect to material copied or downloaded, and the disclaimers and limitations of liabilities set forth in this Agreement, shall continue in force.

  2. Third Party Links This Site may include links to other Internet sites maintained by third parties ("Linked Sites"). Express Hotels provides Linked Sites to you solely as a convenience, and the inclusion of Linked Sites does not imply endorsement by Express Hotels of the Linked Sites. You access Linked Sites at your own risk and by accessing them you leave this Site. Linked Sites are not under the control of Express Hotels and Express Hotels is not responsible for the contents of any Linked Sites.

Modifications to the Site or Services Express Hotels reserves the right at any time to modify or discontinue, temporarily or permanently, the Site and/or Services (or any part thereof) with or without notice at its sole discretion. This Agreement is binding on the parties hereto and their successors and assigns. If any provision in this Agreement is deemed unlawful, void or unenforceable, then that provision will be deemed severed from the Agreement and the remaining provisions shall remain in full force and effect as if no invalid or unenforceable provision had been part of this Agreement.

Clear Gifs Information: When you use the Site or services, we may employ clear gifs (a.k.a. Web Beacons) which are used to track the online usage patterns of our users anonymously. In addition, we may also use clear gifs in HTML-based emails sent to our users to track which emails are opened by recipients. The information is used to enable more accurate reporting, improve the effectiveness of our marketing, and make this Site better for our users.

Children's Privacy Protecting the privacy of young children is especially important. For that reason, Express Hotels does not knowingly collect or solicit personal information from anyone under the age of 13. No one under age 13 is allowed to provide any personal information to or on this Site. Social Media Interactions Express Hotels invites you to socialize and share your experiences with Express Hotels using Social Media tools such as Facebook, Twitter, Pinterest, LinkedIn, YouTube, Google+ and Instagram. If you choose to use these tools, you may be sharing certain profile elements, including your comments. This sharing is subject to each social media program’s privacy policies. We also use Facebook Social Plugins to allow Facebook to share information and friends’ activities with its members while they are on our Site. Authorized Agents: If you would like an authorized agent to submit a request on your behalf, the agent may do so by using the submission methods noted above. Upon receipt of a Request to Know, Delete, or Correct by an agent, Express Hotels will ask the California resident for written, signed permission that the agent has been authorized by the resident to act on their behalf. Once written authorization is provided, Express Hotels will open a request for the resident. Express Hotels will respond directly to the individual email address provided by the authorized agent regarding the fulfillment of the request.

CHANGES TO THIS CALIFORNIA PRIVACY STATEMENT

We may change or update this California Privacy Statement from time to time. When we do, we will post the revised California Privacy Statement on this page with a new “Last Updated” date.

NOTICE OF FINANCIAL INCENTIVE / BONA FIDE LOYALTY PROGRAM

The CCPA’s implementing regulations define a “financial incentive” as a program, benefit, or other offering “related to the collection, deletion, or sale of personal information.” Likewise, the CPA’s implementing rules define a “Bona Fide Loyalty Program” as a program “established for the genuine purpose of providing discounts, rewards, or other actual value” to members that voluntarily participate in the program. Express Hotels offers guests the opportunity to participate in a third party vendor Loyalty Program (the “Program”), which may provide benefits, including discounted rates on stays, as well as the opportunity to earn points that can be redeemed for discounted or free stays or other items, to those who choose to join. Those benefits are described along with other material terms and conditions on the Loyalty Program website here. The Loyalty Program collection of their members’ Personal Data (including name, zip code, email address, and other Personal Data as described above under “Personal Data We Collect, Disclose, Share and Sell”) allows Express Hotels to operate the Program and provide membership benefits through a third party provider. Express Hotels uses the Personal Data of Program members, including their stay details, to both award and redeem incentives. Otherwise, the types of Personal Data that we collect from Program members are generally similar to the types of Personal Data that we collect from individuals who are not Program members. The amount of Personal Data that we collect from a member or non-member may vary and is dependent on the level of interactions and engagement that the member or non-member has with Express Hotels

Express Hotels seeks to ensure that both members and non-members have a memorable and enjoyable experience when staying at an Express Hotels hotel. For this reason, in connection with a hotel stay, Express Hotels may collect information from both members and non-members related to their personal preferences, as described in the section titled “Personal Data We Collect, Disclose, Share, and Sell”.

Express Hotels may also collect Personal Data about Program members through its Partner Programs, as defined in Express Hotels’ third party vendor, Loyalty Program Terms & Conditions. When a Program member engages with Loyalty Program, Express Hotels receives information necessary to facilitate incentive redemptions or earnings. The partner benefits available to a member depends on the level and interactions from that member.

Express Hotels "shares," as the term is defined under the CCPA, Personal Data of both Program members and non-members to third party marketing partners for the purposes of online advertising, as disclosed above in this California Privacy Statement. The following details are disclosed in this California Privacy Statement, above, under the section titled “Personal Data We Collect, Disclose, Share, and Sell”:
